Transaction Services

From first look to final close and everything in between.

Transactions are among the highest-stakes moments in any company's lifecycle. The decisions made during diligence, the structure negotiated at the table, and the work done to prepare an organization for what comes next have long-lasting consequences—for value, for culture, and for execution. Odyssey Advisory's transaction services practice provides experienced support across the full transaction lifecycle, on both sides of the table.

We've been principals in transactions, not just advisors. That experience shapes how we work: with urgency, with attention to the details that actually matter, and with a clear understanding of what diligence findings mean for deal value and post-close execution. For buyers, sellers, investors, and boards navigating M&A, capital raises, or strategic partnerships, we provide the expertise to move quickly and land well.

Deal Diligence

Effective diligence is not just about finding problems—it's about understanding them in context, assessing their materiality, and determining what they mean for price, structure, and risk. Our diligence practice provides comprehensive buyside and sellside support across financial, operational, legal, and commercial dimensions—calibrated to the sector, the deal structure, and what you actually need to know to close with confidence.

For energy transactions specifically, we assess asset performance and production history, review interconnection and offtake agreements, evaluate O&M contracts and equipment warranties, analyze incentive and tax credit exposure, and assess the operational infrastructure that will determine whether the business performs post-close as projected. We know the questions to ask, the representations that need to be pressure-tested, and the red flags that don't always surface in document review alone.

For technology and media transactions, our diligence teams assess commercial pipeline quality, recurring revenue durability, platform architecture and technical debt, content rights and licensing exposure, and the competitive dynamics that affect long-term value.

Our findings are delivered with the clarity and prioritization that deal teams and boards require—not as a catalog of everything we found, but as a structured view of what matters and what to do about it.

Organizational Consulting

The organizational dimension of a transaction is frequently underweighted until it becomes a problem. Pre-close, that means understanding the people, structure, and culture you're acquiring—or surfacing the organizational gaps that a buyer will scrutinize. Post-close, it means designing the combined organization, managing the integration of teams and functions, and building the operating model that will actually capture the value the deal was premised on.

Our transaction-focused organizational consulting practice supports buyers and sellers through both phases. On the sellside, we help companies prepare their organizations for acquisition—identifying structural vulnerabilities, addressing key-person dependencies, and building the documentation and governance infrastructure that acquirers expect. On the buyside, we assess organizational readiness and design the integration roadmap that will determine whether the transaction delivers on its strategic rationale.

Transaction Support

Transactions consume bandwidth. The internal team managing day-to-day operations often cannot also staff the data room, coordinate diligence responses, manage outside counsel, track open issues, and maintain deal momentum simultaneously. Our transaction support practice provides the experienced, dedicated capacity that allows deals to close without breaking the business underneath them.

We manage data room population and organization, track diligence requests and response timelines, coordinate across internal teams and external advisors, and maintain the version control and communication discipline that complex transactions require. We also support the drafting and negotiation of transaction documents—purchase agreements, disclosure schedules, ancillary agreements, and closing deliverables—working alongside legal counsel to keep documentation moving and issues resolved.

Whether you're running a targeted acquihire or a full-scale platform transaction, our transaction support teams provide the structure and execution capacity that deals demand.

Capital Formation & Fundraising

Raising capital—whether project finance, venture equity, tax equity, or strategic investment—requires more than a good story. It requires a well-structured opportunity, credible financial documentation, a disciplined process, and experienced representation at the table. Our capital formation practice supports companies and investors on both sides of the capital raise.

For companies raising capital, we support financial model development and investor materials, lender and investor identification and outreach, term negotiation, and process management through closing. For energy companies specifically, we bring experience across project finance structures, ITC and PTC monetization, tax equity syndication, and the commercial documentation that lenders and investors require.

For investors evaluating opportunities, we provide the independent financial and operational analysis that informs investment decisions—including asset-level and portfolio-level underwriting, management team assessment, and market context that goes beyond what management presents.

Our capital formation engagements are built around outcomes: getting you to close, on terms that reflect the quality of what you've built.
